Acceptance of Terms

By accessing or using BoardTrust, you agree to be bound by these Terms of Use. If you do not agree to these Terms, please do not access or use the service.

Eligibility and Authority

You represent that you are at least 18 years old and that you have the authority to use the service on behalf of yourself or the organization you represent.

Description of Service

BoardTrust is a governance management platform designed to help nonprofit organizations organize board information, manage governance documents, track policy review and compliance-related workflows, and maintain governance records. The service is offered on a subscription basis.

Accounts and Account Security

You are responsible for maintaining accurate account information, safeguarding your login credentials, and all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access to your account or other security incident involving the service.

Accounts for subscription workspaces are maintained for the benefit of the organization associated with the account, not solely for the individual user who created the account. We may permit account access, reassignment, or administrative transfer where reasonably necessary to reflect changes in organizational leadership, authorized administrators, or account ownership. In the event of a dispute regarding account authority between an individual user and the organization associated with the account, we may rely on the organization's stated governance, administrative, or ownership information and may reassign or restrict access as reasonably necessary to protect the organization and the service.

Subscription and Billing

If you purchase a paid subscription, you agree to pay all applicable fees. Subscriptions renew automatically on a recurring annual basis unless canceled before the applicable renewal date. If you cancel, your subscription will remain active until the end of the then-current billing period, after which it will not renew. Except as required by law, fees are non-refundable. We may change subscription fees or billing terms upon reasonable notice. If your subscription is canceled, you should export any User Content you wish to preserve before the end of the paid term and any post-termination retention period.

Data Access After Cancellation or Termination

If your subscription ends or your access to the service is terminated, we may retain your data for up to sixty (60) days to allow administrative transition, reactivation, or export, after which we may delete it in accordance with our retention practices and without further notice. It is your responsibility to export any documents, records, or other content you wish to preserve before deletion. We are not responsible for retaining data indefinitely after cancellation or termination.

Acceptable Use

You agree to use the service only for lawful purposes and in accordance with these Terms. You may not use the service to violate any law, infringe the rights of others, interfere with or disrupt the service, attempt unauthorized access to the platform or related systems, upload malicious code, or misuse any templates, content, or materials made available through the platform.

You may not use automated systems, bots, scraping tools, or similar means to access, extract, copy, monitor, or harvest platform content, templates, data, or materials, including for the purpose of building, training, or improving a competing product, dataset, or artificial intelligence model.

User Content

You retain ownership of the documents, information, and other content you upload or enter into the service. You grant BoardTrust a limited, non-exclusive license to host, store, process, display, and use that content solely as necessary to operate, maintain, and improve the service.

Intellectual Property

BoardTrust and its software, design, branding, original content, template library, and related materials are owned by us or our licensors and are protected by applicable intellectual property laws. You may use templates and materials made available through the platform for your organization's internal governance purposes only. You may not copy, redistribute, resell, sublicense, or commercially exploit platform content except as expressly permitted by us in writing.

Not Legal, Tax, Accounting, or Compliance Advice

BoardTrust is an organizational support tool. Nothing provided through the service, including templates, checklists, policy samples, governance scores, status indicators, reminders, summaries, or other materials, constitutes legal, tax, accounting, audit, or compliance advice. Use of the service does not create any attorney-client, accountant-client, consultant-client, or other professional advisory relationship.

Organizational Responsibility

Each organization remains solely responsible for reviewing, approving, adopting, maintaining, and using its governance documents, policies, records, and practices in a manner appropriate to its governing documents, applicable law, tax status, and operational needs.

Service Availability and Changes

We may modify, suspend, or discontinue all or part of the service from time to time, including features, functionality, or content. We do not guarantee that the service will be uninterrupted, error-free, or available at all times.

Disclaimer of Warranties

BoardTrust is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness.

Limitation of Liability

To the fullest extent permitted by law, BoardTrust and its owners, operators, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or operational continuity arising out of or related to your use of, inability to use, or reliance on the service or any templates, content, or materials made available through it. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the service will not exceed the amount you paid to us for the service during the twelve (12) months preceding the event giving rise to the claim.

Termination and Suspension

You may stop using the service at any time. We may suspend or terminate your access to the service if you violate these Terms, fail to pay applicable fees, misuse the service, create risk or harm to the platform or others, or if suspension or termination is reasonably necessary for security, operational, or legal reasons.

Privacy

Your use of the service is also subject to our Privacy Policy.

Indemnification

You agree to indemnify, defend, and hold harmless BoardTrust and its owners, operators, affiliates, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your misuse of the service, your violation of these Terms, your violation of applicable law, or your infringement of the rights of any third party.

No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Illinois, and you consent to the jurisdiction of those courts.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the service or by other reasonable means. Continued use of the service after updated Terms become effective constitutes acceptance of the revised Terms.

Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and BoardTrust regarding your use of the service.
